General Terms of Purchase

1. Delivery
Delivery shall be made within the period expressly stated on each order. In the event of failure to observe the delivery period, Europavia España S.A., hereinafter EUROPAVIA, reserves the right, at its discretion, to:
- Treat the order as firm, applying to the Supplier penalties on the amount of the material not delivered, in an amount identical to that which the end customer may apply to EUROPAVIA for that delay.
- Treat the order as cancelled, in which case it shall be sufficient for EUROPAVIA to notify this in writing.
2. Receipt
No material will be accepted that is not received accompanied by a Delivery Note stating the number of packages, weight of goods, unit of measurement, quantity, material reference and the number of the order to which the delivery corresponds. The documentation provided (Certificate of conformity, EASA, maintenance workshop report, test report) shall be that required in the specific order of the “Required documentation” BLOCK. Failure to comply with the above will constitute a non-conformity and the materials will therefore not be accepted. See Section 9.2 of Requirements.
3. Returns and rejections
EUROPAVIA accepts no liability for materials delivered in excess of those stated on its reference order, even where they have been admitted into its Warehouses, although it reserves the right to return those quantities at the Supplier's expense. Likewise, goods rejected by EUROPAVIA's Quality Control will be returned to the supplier carriage forward, and the supplier is obliged to replace them within 20 days, carriage paid, unless it receives instructions to the contrary. EUROPAVIA shall have 30 days, save in cases of force majeure, to verify the materials through Incoming Inspection and to issue, where applicable, the rejection note.
4. Transport and packaging
Unless otherwise stated on the order, the packaging and transport insurance of the goods shall be at the Supplier's expense, and no charge for these items will be accepted, save by express agreement to that effect. In the case of international transport at EUROPAVIA's expense, the forwarder used shall be designated by EUROPAVIA and indicated on the Order. Packaging must comply with the ATA regulation.
5. Invoicing
Invoices shall be sent to EUROPAVIA to the following e-mail address: invoices@europavia.es.
6. Method and term of payment
Unless another method of payment is stated on the order, payment shall be made by transfer at 60 days from the invoice date.
7. Warranties and civil liability
The Supplier shall indemnify and hold EUROPAVIA harmless against claims that may arise by reason of the delivery of a defective product, as well as for infringement of patents, trade marks or utility models, and shall defend at its own expense any litigation arising for this reason, provided that the products do not correspond to the characteristics assumed for the reference supplied.
8. Acceptance of the order
The Supplier shall return to EUROPAVIA copy No. 2 of the “Purchase Order” duly signed. Acceptance of the order likewise entails acceptance of these General Conditions of Purchase. EUROPAVIA does not accept any condition that contradicts those appearing on this order, unless specified in writing.
9. Quality requirements
The following GENERAL and SPECIFIC requirements shall apply, in addition to the SPECIFIC requirements stated on the Order.
9.1. GENERAL REQUIREMENTS
- The material to be supplied shall always be new and unused, unless otherwise specified on the order. An exception is made in the case of subcontracted work such as repairs, inspections, overhauls, revisions, completion of bulletins, etc.; and where this is known to EUROPAVIA.
- Where the material to be supplied has usage limitations such as materials with a shelf life (elastomers, paints, sealants, adhesives, etc.), the supplier shall undertake to provide EUROPAVIA with the manufacturing data and shelf life or expiry date, as well as the information relating to the applicable specification requirements. All these materials must still have 80% of their useful life remaining on the date of receipt at EUROPAVIA unless otherwise specified.
- Where the supply corresponds to inspection, testing or trial equipment, the Supplier shall provide an internationally traceable Calibration Certificate, including data such as Reference, type, Serial No., acceptance procedure, calibration date and recommended date of next calibration.
- EUROPAVIA, in its capacity as Supplier of items subject to military contracting governed by compliance with the NATO Quality Assurance Requirements for production, short title PECAL-2110, AQAP-2131, AQAP-2070, EN9110, as well as the EN9120 standard and EASA Part 145, EASA Part 21 and PERAM 145, requires the Supplier to provide access to its facilities and those of its subcontractors for inspection as quality control (QC) and quality assurance (QA) within the implemented quality management system, whether civil or military in character, as well as to the quality management representative (QMR) of the end-user consumer of aircraft involved in its products.
- All supplies of aeronautical items or of materials subject to aeronautical standards shall be delivered together with their applicable certificate of conformity issued by the manufacturer under the official distributor's standards, or shall guarantee the traceability of the manufacturer's products through to EUROPAVIA.
- As regards the supply of chemical substances and preparations, the Supplier must comply with the REACH Regulation, EC Regulation No. 1907/2006 (Registration, evaluation, authorisation and restriction of chemical substances and preparations). The safety data sheet must be supplied in an official language of the Member State or States in which the substance or preparation is placed on the market, unless the Member State or Member States concerned provide otherwise”. (Article 31. Requirements for safety data sheets). You are therefore asked to attach the safety data sheet in the official language of the country in which the material is delivered and in accordance with REACH and CLP legislation. Send the Material Safety Data Sheet (MSDS).
- The supplier must make reasonable efforts to eliminate Conflict Minerals from each company product (ROHS requirements), as well as from the products currently proposed to be manufactured by or on behalf of the company in the future. Conflict minerals means and comprises Columbite-tantalite (coltan), cassiterite, gold, wolframite, or their derivatives, which originate in the Democratic Republic of the Congo or in another country whose exploitation and trade is defined and determined by the United States as a source of financing of conflicts in the Democratic Republic of the Congo (DRC) or another country.
- Industrial and commercial packaging: The supplier is obliged to comply with legal requirements in relation to industrial and commercial packaging under Royal Decree 1055/2022 and European Regulation 2025/40 on Packaging and Packaging Waste (PPWR).
- Every delivery to EUROPAVIA of aeronautical material or standard material intended to be incorporated into an aircraft, unless specified or included in a Purchase Order, must include a certification in accordance with the legislation and standards applicable under that regulation, with full traceability from original equipment manufacturers (OEM) throughout the network and supply chain and from distributors.
- The Supplier must guarantee that all documentation relating to the product (Certificates of conformity, EASA F-1, etc.) is classified and retained for at least 25 years.
- The Supplier must implement a consistent method for detecting defects and correcting them, a product control system for any item detected as suspect non-conforming that does not meet the requirements determined by the quality system. Such identified items must be segregated immediately and a report on the suspect items must be sent to Europavia, in the event that those items are subject to an investigation on suspicion of counterfeiting.
- The supplier shall implement a flow of specific actions against the risks of counterfeit parts, as relevant to the activity, based on the tools proposed by the IAQG SCMH (3.5). Product identified as counterfeit shall not be returned to the external supplier and shall be controlled and disposed of as scrap after making the relevant notifications to the corresponding authorities within less than 24 hours of its detection.
- Liability and Financial Compensation: The Supplier shall bear all direct costs and expenses arising from the Quality Escape. This includes, by way of illustration but not limitation: return transport costs, scrapping costs, labour hours for re-inspection or readjustment at Europavia's facilities, as well as the penalties that Europavia must bear towards third parties as a result of that failure.
- Recurrence and Contractual Termination: The repeated occurrence of Quality Escapes within a given period shall be considered a Serious Breach, entitling Europavia to terminate the agreement early without any penalty and to claim the corresponding compensation for damages.
Suppliers that carry out equipment repairs must prevent the use of unapproved parts; repairs must be carried out on the basis of approved technical data. If a problem is detected, it must be reported to Europavia.
- The Supplier must report any non-conformity or change in the order, as well as any significant variation in its processes, products or services, including changes to its external suppliers or the location of production. In addition, the Supplier must report any change concerning the location of its facilities.
- The Supplier must ensure that every employee of its organisation, as well as all personnel involved in the realisation of its products and services, is aware of their contribution to quality and safety, and of the importance of appropriate ethical behaviour. All personnel involved must have the competence and qualification required by the process they carry out.
- All the clauses included in these general conditions of purchase must be passed on to any subcontractor of the Supplier. Suppliers that carry out equipment repairs must inform Europavia if they subcontract any process.
- Quality escapes: "Quality Escape" means any Product, component or service supplied by the Supplier which, containing a manufacturing defect, hidden defect or failure to comply with the agreed technical specifications, has not been detected or held back by the Supplier's quality control systems and is physically delivered to Europavia.
In the event that the Supplier detects a Quality Escape after dispatch of the Product, it must notify the Customer in writing within a maximum period of [24/48] hours from the finding. The notification must include: the detailed description of the failure, the batches or units affected, the level of risk and the proposed containment measures.
Following confirmation of a Quality Escape (whether detected by the Supplier or claimed by the Customer), the Supplier shall proceed immediately and at its own expense to: Suspend shipments of the batches under suspicion, Implement a failure containment plan (additional "quality wall" inspection) and Replace or repair the affected units within the agreed commercial timescales
9.2. SPECIFIC REQUIREMENTS
The Supplier shall deliver together with the items the following documentation (as indicated on the purchase order)
- If the certificate of conformity is required, the ISO9001, EN9110, EN9120, PECAL-2110, AQAP-2131, AQAP-2070 regulations or other applicable standards indicated on the purchase order shall be applied. The certificates must be signed (electronic signatures are accepted) and the manufacturing address (CAGE) must be clearly stated on the certificate.
- If the EASA Form 1 is required, and is delivered, under EASA regulations other documentation may be accepted such as the FAA Form 8130-3 Dual Release, save for an exception specified on the purchase order.
- Authorised manufacturers: If the purchase order states that only certain CAGE codes will be accepted, and material is delivered under a CAGE code other than those indicated, EUROPAVIA will reject that material.
- Inspection report / maintenance workshop report: Where necessary, the Supplier must deliver an inspection report of the repair/overhaul or of any other intervention carried out on a specific item of equipment; that workshop report must include all the necessary information on the work carried out on the equipment, the parts installed, the repair documentation used (code, date and revision) and the evidence of validity of the tests carried out to render that part repairable and serviceable, set up and ready.
10. Information security and confidentiality
The SUPPLIER undertakes to comply strictly with Europavia's Information Security Policy and to implement the technical and organisational measures necessary to guarantee the confidentiality, integrity and availability of the data. Likewise, the Supplier shall notify Europavia immediately (within a period not exceeding 24 hours) of any security incident or breach of systems that affects or may affect the information provided, and undertakes to permit audits or inspections by Europavia to verify compliance with these standards.
11. Confidentiality and subcontracting in design and production
The Supplier acknowledges that, in the course of providing the services, it may have access to confidential information of Europavia, including but not limited to: design data, drawings, technical specifications, configuration data, manufacturing procedures, Quality Management System documentation, customer or supplier information, and any data relating to DOA/POA approvals. The Supplier undertakes to keep that information in strict confidence and not to disclose it to third parties without the prior written authorisation of Europavia.
The Confidential Information may be used solely for the performance of the services forming the subject of this contract. Its use for any other purpose is expressly prohibited, including the development of its own products, the training of third parties or comparison with other designs.
The Supplier shall implement and maintain appropriate technical and organisational measures to protect the Confidential Information against unauthorised access, loss, alteration or disclosure, including as a minimum:
- Access control based on the "need to know" principle.
- Encryption of data in transit and at rest where applicable.
- Logging and traceability of access to the technical documentation.
- Backups and recovery procedures.
- Training of personnel in information protection.
The Supplier shall notify Europavia without undue delay and within a maximum period of 24 hours from its detection of any security incident, unauthorised access, loss or leak of Confidential Information, stating its nature, scope and the corrective measures adopted.
The Supplier may not subcontract, in whole or in part, work involving access to the Confidential Information without the prior written consent of Europavia. In the event that Europavia expressly authorises the subcontracting of part of the services, the Supplier and/or subcontractor is obliged to:
- Sign a confidentiality agreement with the subcontractor containing obligations identical to, or at least as restrictive as, those stipulated in the contract.
- Ensure that all of its personnel involved in the service are subject to an analogous duty of professional secrecy.
- Likewise, the supplier and/or subcontractor shall be directly liable for any breach of the duty of confidentiality attributable to its employees, collaborators or the subcontracted companies, assuming full responsibility for the economic or reputational damages that such a leak causes to Europavia.
Where the Confidential Information includes design data subject to configuration control, the Supplier must unequivocally identify the version/revision used, must not modify that data without express authorisation, and must return or destroy any obsolete copy in accordance with Europavia's instructions.
If the Confidential Information is subject to export control legislation (e.g. ITAR, EAR, or European Union dual-use legislation), the Supplier undertakes to comply with that legislation, not to transfer the information to unauthorised persons or countries, and to inform Europavia immediately of any doubt as to the applicability of these restrictions.
On termination of the contract, or when Europavia so requests, the Supplier shall return or destroy all Confidential Information (including digital and physical copies), certifying that destruction in writing when so required.
The confidentiality and security obligations established in this contract shall remain in force for 10 years after the end of the contractual relationship, or indefinitely in respect of information that constitutes a trade secret.
Europavia reserves the right to audit, on reasonable prior notice, the Supplier's compliance with the security obligations established in these clauses, and may request documentary evidence of the measures implemented.
Breach of the confidentiality and security obligations shall entitle Europavia to terminate the contract and to claim the damages caused, without prejudice to any other legal action that may be appropriate.
All design data, technical documentation and other Confidential Information shared shall remain the exclusive property of Europavia. This contract does not entail any assignment of intellectual or industrial property rights.
12. Ethics and regulatory compliance of Europavia and its supply chain

13. Whistleblowing channel

Its purpose is to offer a secure and confidential means of reporting, anonymously, any irregular conduct, legal breach or violation of our ethical and good governance principles. All reports will be treated with the utmost seriousness, guaranteeing the protection of the reporting person and the appropriate investigation of the facts.
This channel reinforces our commitment to transparency, responsibility and continuous improvement in our relationships with third parties.
14. Processing of personal data
Within the framework of the commercial relationship, Europavia will process the Supplier's contact data (natural person or representatives) in accordance with Art. 6.1.b) GDPR (performance of the contract).
